Agreement to Terms

These Terms of Service ("Terms") govern your use of the RapidLaunch Digital website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our website or use our services.

Services Description

RapidLaunch Digital provides website design, development, and maintenance services for small businesses. Our services include:

• Website Build: Custom website design and development, typically including up to 5 pages, mobile-responsive design, contact form integration, basic SEO optimization, and related services as outlined in our service agreement.
• Monthly Care Plan: Ongoing website maintenance, security updates, backups, uptime monitoring, and limited content updates.
• Add-On Services: Additional services such as extra pages, logo design, and copywriting as requested.

Payment Terms

Website Build Projects

• A 50% deposit is required before work begins
• The remaining 50% is due upon project completion, before the website goes live
• Payment can be made via credit card, debit card, or bank transfer

Monthly Care Plan

• Billed monthly in advance
• Automatic payment via credit card or bank transfer
• Services begin upon receipt of first payment

Late Payments

Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances.

Client Responsibilities

To ensure successful project completion, clients agree to:

• Provide all requested content (text, images, logos) in a timely manner
• Respond to communications and requests within 5 business days
• Provide clear and constructive feedback during revision rounds
• Ensure all provided content is owned by the client or properly licensed
• Review and approve final deliverables before launch

Delays in providing content or feedback may result in extended project timelines.

Revisions and Changes

Included Revisions

The Website Build service includes 2 rounds of revisions during the design and development process. A "revision round" consists of a single set of consolidated feedback submitted together.

Additional Revisions

Additional revisions beyond the included rounds, or changes requested after project completion, will be billed at our standard hourly rate of $75/hour.

Scope Changes

Requests that significantly expand the original project scope may require a revised quote and timeline.

Intellectual Property

Client Ownership

Upon full payment, the client owns:

• All custom code created specifically for their project
• All content provided by the client
• The final website design as delivered

Our Rights

RapidLaunch Digital retains the right to:

• Use general coding techniques and methods in future projects
• Display the completed project in our portfolio (unless otherwise agreed)
• Use third-party tools, libraries, and templates that remain subject to their original licenses

Third-Party Assets

Any third-party assets (stock photos, fonts, plugins, etc.) are subject to their respective licenses. Clients are responsible for any licensing fees associated with third-party assets they choose to use.

Cancellation and Refunds

Website Build Projects

• Cancellation before work begins: Full refund of deposit
• Cancellation after work begins: Deposit is non-refundable; client receives all completed work to date
• Cancellation after completion: No refund; full payment is due

Monthly Care Plan

• Cancel anytime with 30 days written notice
• No refunds for partial months
• No long-term contracts or cancellation fees

Limitation of Liability

RapidLaunch Digital shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use our services
• Actions of third-party services (hosting providers, domain registrars, etc.)

Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.

Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or completely secure.

Indemnification

You agree to indemnify and hold harmless RapidLaunch Digital, its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you provide that infringes on intellectual property rights

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Utah.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of significant changes via email or by posting a notice on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
